– ATTENTION

This is a legal agreement between you (an individual or a corporation) and Ef-Note Inc. (herein referred to as “Ef-Note”) regarding the usage of this software, this firmware or this document provided as PDF (herein referred to as “SOFTWARE”).
Please read carefully the terms of this License Agreement before downloading, installing or using the SOFTWARE. By installing, copying, or starting the use of the SOFTWARE, you hereby consent to the terms of this License Agreement.

We reserve the right to make changes to this License Agreement at any time and for any reason. We will alert you about any changes by updating the “Last Updated” date of this License Agreement. Any changes or modifications will be effective immediately upon posting the updated License Agreement, and you waive the right to receive specific notice of each such change or modification.

– GRANT OF LICENSE AND COPYRIGHT

Ef-Note grants you the non-exclusive rights to use the SOFTWARE in accordance with the terms of this License Agreement.
The SOFTWARE and its copyrights are the property of Ef-Note and are protected by all international copyright laws and treaties. All rights that are not provided for herein are reserved by Ef-Note.

– RESTRICTIONS

You shall not modify, change, reverse engineer, decompile, or disassemble the SOFTWARE. Unauthorized copying, uploading to other network, distributing, modifying and/or attaching this SOFTWARE to other media or any other sales item is expressly forbidden.
You shall not loan, rent, lease, sub-license or transfer the SOFTWARE, either in whole or in part, to any third party.

– DISCLAIMER OF WARRANTY

Ef-Note makes no warranty, either expressed or implied, with respect to any of the SOFTWARE, including, without limitation, any implied warranties of merchantability or compatibility for a particular purpose.

– NO LIABILITY

You expressly acknowledge and agree that using the SOFTWARE is AT YOUR OWN RISK. Ef-Note cannot reply to inquiries regarding the SOFTWARE.
In no event shall Ef-Note be liable to end-users for any damages whatsoever, including but not limited to financial damages for any loss of profits or information arising from the use of, or inability to use this SOFTWARE and related products. Even if the SOFTWARE has any verifiable, and reproducible program errors, or incorrect information, Ef-Note shall have no liability to correct such errors.

– TERMINATION

Ef-Note reserves the right to terminate this License Agreement automatically without notice from Ef-Note if you fail to comply with any of the terms of this License Agreement. Upon such termination, you shall immediately destroy the SOFTWARE, any attached documents and all copies thereof.

– PRIVACY POLICY
By using the SOFTWARE, you agree to be bound by our Privacy Policy (https://ef-note.com/privacy/privacy.html), which is incorporated into this License Agreement.

– GENERAL

This License Agreement shall be interpreted according to and governed by Japanese law without reference to principles of conflict of laws. Any dispute or procedure shall be heard before the Shizuoka District Court in Japan. If for any reason a court of competent jurisdiction finds any portion of this License Agreement to be unenforceable, the remainder of this License Agreement shall continue in full force and effect.
